Important Scope Notice
These Terms apply to the NHR corporate website. They do not govern XParking, other NHR apps, SentrolCloud, IoT View, device or platform account services, and do not replace a quotation, purchase, distribution, maintenance, warranty, license, or project agreement. Separate service terms or a signed written agreement will control the relevant service.
These Website Terms of Use ("Terms") are issued by Nietzsche Enterprise Co., Ltd. (brand name: "NHR"; referred to as "NHR," "we," "us," or "our"). They apply when you browse, access, or use the NHR corporate website and its public pages, contact forms, quotation requests, technical-support entry points, downloads, videos, or other external-content functions (collectively, the "Website").
By using the Website, you acknowledge that you have read and agree to these Terms. If you use the Website on behalf of a company, government agency, school, system integrator, distributor, or other organization, you represent that you have authority to act for that organization. If you do not agree, do not use the Website.
A particular product, service, platform, account, purchase, license, warranty, maintenance arrangement, or project may be subject to separate terms, a quotation, an order, or a written agreement. If there is a conflict, the specific document will control.

The Website provides general corporate, product, solution, application, case-study, event, technical-resource, and contact information for introduction, business evaluation, and inquiry purposes. Unless a page expressly states otherwise or we agree in writing, Website content is not a quotation, commitment, warranty, offer, purchase contract, acceptance document, or professional advice.
Product availability, pricing, lead time, functions, specifications, certifications, compatibility, regional availability, and service scope may vary by model, version, project configuration, law, or site condition. Our formal quotation, specification, order, contract, or engineering confirmation will control.
Subject to these Terms, NHR grants you a limited, non-exclusive, non-transferable, and revocable right to browse the Website and download materials that we expressly make publicly available, solely for personal use or lawful internal business evaluation. No intellectual-property right or other commercial exploitation right is transferred.
You must use the Website lawfully, in good faith, and in a reasonable manner. Information you submit through a form or email must, to the best of your knowledge, be accurate, appropriate, and not misleading. You must have authority to provide any third-party data, document, image, or other material.
You must not, directly or through another person:
Unlawful or infringing use: use the Website in violation of law, public order, third-party rights, or these Terms.
Disruption or damage: transmit malicious code, disable services, bypass access controls, interfere with networks, or impose an unreasonable system load.
Unauthorized testing: conduct vulnerability scanning, penetration testing, credential attempts, reverse engineering, or security-control circumvention without our written approval, except where law expressly permits it.
Improper collection: use scraping, bots, automation, or other means to collect personal data, contact information, or Website content at scale, or to create an unauthorized commercial database, model, or training dataset.
Content misuse: copy, modify, distribute, publicly transmit, sell, sublicense, frame, or remove rights notices, except with our written authorization or as permitted by law.
Impersonation or misrepresentation: impersonate another person, falsify origin, or imply that NHR sponsors, certifies, or endorses you, your product, service, or statement.
The Website and its text, layout, graphics, photographs, videos, diagrams, interfaces, code, databases, documents, product names, trademarks, logos, and other content are owned by NHR or its licensors unless stated otherwise, and are protected by copyright, trademark, and other intellectual-property laws.
Without our prior written approval, you may not use NHR, Nietzsche, a product name, trademark, logo, or Website content in advertising, a domain name, social-media account, product packaging, comparative promotion, or any manner likely to suggest authorization, agency, partnership, endorsement, or affiliation with NHR.
We take reasonable care in maintaining Website content, but technical information, diagrams, interface images, scenarios, and case descriptions may be general, version-specific, or conceptual. Actual functions, appearance, measurements, communications, battery life, compatibility, deployment results, and availability may differ by product version, project configuration, integration method, and site conditions.
If Website content conflicts with a signed agreement, quotation, confirmed specification, acceptance document, or official version note, the formal document will control. A case study, benefit, or result reflects its specific conditions and does not guarantee the same outcome at another site.
Datasheets, catalogs, white papers, instructions, software, firmware, or other downloads may include separate license terms, version restrictions, or usage instructions. If so, those terms apply. You must not remove a safety warning, version statement, copyright, trademark, or other rights notice, or use a download for unauthorized resale, sublicensing, or product replication.
Before procurement, design, tender submission, installation, or deployment, verify the version, date, and applicable model of any material and obtain any required formal confirmation from NHR.
You retain your existing rights in an inquiry, requirement, attachment, photograph, video, record, or other material that you submit. You authorize NHR and service providers needed to handle the matter to receive, copy, store, review, and route the material within the reasonably necessary scope to respond, evaluate requirements, provide support, or perform the service you requested.
You represent that you have authority to provide the material and that it is lawful, non-infringing, and free of malicious code. Unless we have agreed on an appropriate confidential or secure transmission method, do not submit trade secrets, regulated data, passwords, private keys, complete identity documents, medical data, or other highly sensitive information through a general Website form.
NHR processes personal data you provide through the Website, and data relating to browsing, cookies, preferences, external content, or communications, in accordance with the Privacy Policy published on the Website. The Privacy Policy complements these Terms. A service-specific privacy policy will control the relevant service where one is provided.
The Website may link to or load third-party websites, maps, videos, social platforms, distributors, partners, or other independent services. Those third parties operate independently, and NHR does not control their content, availability, security, data practices, or transaction terms. Review their terms and privacy policies before using them.
The presence of a third-party link or item does not by itself constitute an NHR warranty, certification, sponsorship, or endorsement. NHR is responsible for a third-party service or content only to the extent required by applicable law.
NHR may modify, suspend, restrict, or discontinue any part of the Website for maintenance, updates, security, legal, operational, or uncontrollable reasons. We take reasonable measures to maintain the Website, but do not guarantee uninterrupted, error-free, completely secure, or permanent availability.
If you discover a suspected vulnerability, abnormal behavior, or unauthorized access, do not exploit or publicly disclose it. Notify NHR using the contact information in Section 18.
To the maximum extent permitted by law, the Website and public content are provided "as is" and "as available." Except for an express commitment in a formal written agreement, NHR disclaims express or implied warranties of fitness for a particular purpose, completeness, timeliness, error-free or uninterrupted operation, and non-infringement.
Website content is not a substitute for the professional judgment, testing, and confirmation required for product selection, engineering, cybersecurity, legal compliance, procurement, or deployment. These Terms do not exclude or limit any liability, warranty, or statutory consumer right that cannot lawfully be excluded or limited.
To the extent permitted by law, NHR will not be liable for indirect, incidental, special, punitive, or consequential loss, or loss of profit, goodwill, opportunity, or data, arising from reliance on general Website information, third-party content, interruption, data loss, malicious code, or unauthorized use.
The preceding limitation does not apply to liability arising from NHR's willful misconduct or gross negligence, personal injury, or any other liability that cannot lawfully be excluded or limited in advance. Where the parties have a valid written agreement, liability will be governed by that agreement and mandatory law.
If you breach these Terms, applicable law, or third-party rights, or if your conduct may harm the Website, NHR, another user, or information security, NHR may restrict or block access, remove relevant material, preserve necessary records, and take appropriate lawful action within the reasonably necessary scope.
NHR may update these Terms to reflect changes in Website functions, services, law, security, or operations. The updated Terms will be posted on the Website with the latest version date. If a change may materially affect users' rights, we will provide a Website notice or other appropriate notice where reasonably practicable and legally required. Updated Terms apply to Website use on or after their effective date.
These Terms are governed by the laws of the Republic of China (Taiwan), without regard to conflict-of-laws principles. The parties should first attempt in good faith to resolve a dispute arising from the Website or these Terms. Unless mandatory law requires otherwise, the Taiwan New Taipei District Court will be the court of first instance.
If any part of these Terms is held invalid, unlawful, or unenforceable, the remainder will remain effective. The affected part will be interpreted or adjusted to the extent permitted by law to most closely reflect its original intent. A delay in exercising a right does not waive that right.
These Terms may be available in other languages. If there is an inconsistency, the Traditional Chinese version prevails, except where mandatory applicable law requires otherwise.
